1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and C.O Peanech Aphivat Co. Ltd (COPA), a company registered under the laws of the Kingdom of Cambodia. By accessing, browsing, or using our website, mobile application, or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Scope of Agreement

These Terms apply to:

• All users of Peanech.com website and mobile applications
• Property buyers, sellers, renters, and landlords
• Real estate agents and brokers using our platform
• Developers and commercial property owners
• Any third-party service providers integrated with our platform

Legal Compliance

Our services comply with:

• The Real Estate Law of the Kingdom of Cambodia
• International Real Estate Laws and Standards
• Consumer Protection Laws of Cambodia
• Data Protection and Privacy Regulations
• Google Play Store Developer Program Policies
• E-Commerce and Digital Services Regulations

2. User Accounts

Account Registration

To access certain features of our platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Account Requirements

You must meet the following requirements to create an account:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Provide valid contact information and identity verification when required

Account Types

We offer different account types with varying features:

• Basic User: Browse properties, save favorites, contact agents
• Property Owner: List properties, manage inquiries, access analytics
• Real Estate Agent: Professional listings, lead management, verified badge
• Developer: Multiple projects, enhanced visibility, marketing tools

Account Security

You are responsible for:

• Choosing a strong, unique password
• Enabling two-factor authentication when available
• Not sharing your account credentials with others
• Logging out from shared or public devices
• Reporting any security breaches immediately

3. Property Listings

Listing Standards

All property listings must comply with the Real Estate Law of the Kingdom of Cambodia and must:

• Contain accurate and truthful information
• Include clear, recent photographs of the actual property
• Specify correct pricing, location, and property details
• Disclose any known defects or issues
• Include valid contact information
• Comply with fair housing and anti-discrimination laws

Prohibited Listings

You may not post listings that:

• Are fraudulent, misleading, or deceptive
• Violate intellectual property rights
• Contain illegal content or promote illegal activities
• Are duplicates or spam
• Include discriminatory language or practices
• Violate local zoning or land use regulations
• Infringe on third-party rights

Listing Ownership and Rights

By posting a property listing, you:

• Represent that you have the authority to list the property
• Grant us a license to display, promote, and distribute your listing
• Authorize us to use listing content in marketing materials
• Retain ownership of your listing content
• Accept responsibility for the accuracy of listing information

Listing Fees and Duration

Property listing terms:

• Basic listings may be offered free of charge
• Premium and featured listings require payment
• Listings remain active for the specified duration
• Automatic renewal options may be available
• We reserve the right to remove listings that violate these Terms

4. User Conduct

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Engage in fraudulent activities
• Harass, threaten, or abuse other users
• Collect user data without consent

Prohibited Activities

The following activities are strictly prohibited:

• Fraud: Posting fake listings, scamming users, or misrepresenting properties
• Spam: Sending unsolicited messages or advertisements
• Scraping: Using automated tools to collect data from our platform
• Impersonation: Pretending to be another person or entity
• Price Manipulation: Artificial inflation or deflation of property prices
• Discrimination: Refusing service based on protected characteristics

Professional Standards

Real estate agents and brokers must:

• Hold valid professional licenses as required by Cambodian law
• Adhere to professional codes of conduct
• Disclose agency relationships and conflicts of interest
• Maintain professional liability insurance
• Comply with fair housing laws
• Protect client confidentiality

Reporting Violations

If you become aware of any violations of these Terms, please report them to us immediately at legal@peanech.com. We take all reports seriously and will investigate accordingly.

5. Intellectual Property

Our Intellectual Property

All content, features, and functionality on our platform, including but not limited to:

• Text, graphics, logos, and images
• Software, source code, and algorithms
• Trademarks, service marks, and trade names
• User interface and design elements
• Database structure and organization

are owned by COPA or our licensors and are protected by Cambodian and international copyright, trademark, and other intellectual property laws.

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our services for personal or business purposes
• View and download property listings for lawful purposes
• Share property listings through designated social sharing features

Restrictions

You may not:

• Copy, modify, or distribute our content without permission
• Reverse engineer or decompile our software
• Remove or alter copyright notices
• Use our trademarks without authorization
• Create derivative works based on our platform

User Content

You retain ownership of content you submit to our platform. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute your content in connection with our services.

6. Payments & Transactions

Payment Methods

We accept the following payment methods:

• Credit and debit cards (Visa, Mastercard)
• Local payment gateways (ABA Pay, Wing, Pi Pay)
• Bank transfers
• Google Play In-App Purchases (for mobile app users)

Pricing and Fees

Our fee structure includes:

• Listing Fees: Charges for premium property listings
• Featured Placement: Additional fees for enhanced visibility
• Subscription Plans: Monthly or annual membership fees
• Transaction Fees: Service charges on property transactions
• Agent Commission: Percentage-based fees on completed sales

Google Play Billing

For purchases made through our mobile app on Google Play:

• All transactions are processed by Google Play
• Google's payment terms and refund policies apply
• Subscriptions auto-renew unless cancelled
• Manage subscriptions through your Google Play account
• Prices may vary by region due to currency conversion

Refund Policy

Refunds are subject to the following conditions:

• Listing fees: Refundable within 24 hours if no views received
• Subscription fees: Pro-rated refunds for cancelled annual subscriptions
• Premium features: No refunds after feature activation
• Google Play purchases: Subject to Google's refund policy

Property Transactions

For actual property purchases or rentals:

• All transactions are between buyers and sellers/landlords
• We facilitate connections but are not party to transactions
• Users must comply with Cambodian real estate transaction laws
• Legal contracts should be reviewed by qualified attorneys
• Property transfers must follow official registration procedures

7. Liability Limitations

Disclaimer of Warranties

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, completeness, or reliability of content
• Uninterrupted or error-free service
• Security of data transmission

Limitation of Liability

To the maximum extent permitted by law, COPA shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Property damage or personal injury
• Disputes between users
• Actions of third parties
• Errors or omissions in property listings

Our total liability shall not exceed the amount paid by you for our services in the 12 months preceding the claim.

User Responsibility

Users are solely responsible for:

• Verifying property information before transactions
• Conducting property inspections
• Obtaining legal and financial advice
• Complying with all applicable laws
• Their interactions with other users
• The accuracy of their listings and profiles

Indemnification

You agree to indemnify, defend, and hold harmless COPA, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your property listings or content
• Any transactions you conduct through our platform

8. Mobile App Terms

App License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and install the Peanech mobile application on devices you own or control.

App Requirements

• Device Compatibility: Android 5.0 or higher
• Internet Connection: Required for full functionality
• Storage Space: Minimum 50MB available
• Permissions: Camera (for photos), Location (for property search), Storage (for saving data)

Updates and Maintenance

We may:

• Release updates, patches, and new versions
• Require updates for continued use
• Perform scheduled maintenance
• Modify or discontinue features
• Collect usage analytics to improve the app

App Permissions

Our app may request access to:

• Camera: To upload property photos
• Location: To show nearby properties and provide location-based services
• Storage: To save property images and offline data
• Notifications: To send alerts about saved properties and messages
• Phone: To enable direct calling to property agents

Third-Party App Stores

When downloading our app from Google Play or other app stores:

• You agree to comply with the app store's terms and policies
• The app store provider is not responsible for our app
• We, not the app store, are responsible for app maintenance and support
• In-app purchases are governed by the app store's payment terms

9. Google Play Compliance

Content Policy Compliance

Our app adheres to Google Play's content policies:

• No sexually explicit content
• No hate speech or discriminatory content
• No violence or dangerous activities
• No illegal activities or regulated goods
• Proper disclosure of user-generated content
• Age-appropriate content ratings

Privacy and Security

In compliance with Google Play requirements:

• We provide a clear Privacy Policy
• We handle user data securely and transparently
• We request only necessary permissions
• We encrypt sensitive data transmission
• We comply with data deletion requests
• We don't sell personal information to third parties

In-App Purchases

All in-app purchases comply with Google Play's billing policies:

• Processed through Google Play Billing
• Clear pricing displayed before purchase
• Google's refund policy applies
• Subscriptions can be managed in Google Play
• Auto-renewal clearly disclosed

Ads and Monetization

If our app displays advertisements:

• Ads comply with Google Play's ad policies
• Ad content is appropriate and non-disruptive
• Ads are clearly distinguishable from app content
• No misleading or deceptive ads
• Users can report inappropriate ads

User Safety

We maintain user safety through:

• User verification for property listings
• Reporting mechanisms for inappropriate content
• Moderation of user-generated content
• Fraud detection systems
• Clear terms of service and community guidelines

Intellectual Property Rights

We respect intellectual property rights and:

• Remove infringing content upon notification
• Provide a DMCA takedown process
• Terminate repeat infringers' accounts
• Don't encourage piracy or circumvention

10. Dispute Resolution

Informal Resolution

Before initiating formal proceedings, we encourage users to contact us directly to resolve disputes. Please send detailed information about your concern to legal@peanech.com.

Mediation

If informal resolution fails, parties agree to attempt mediation through a mutually agreed mediator in Cambodia before pursuing other remedies.

Arbitration

For disputes that cannot be resolved through mediation:

• Arbitration shall be conducted in Phnom Penh, Cambodia
• Governed by the National Commercial Arbitration Centre of Cambodia
• Conducted in English or Khmer language
• Each party bears their own costs unless otherwise determined
• Arbitration decisions are final and binding

Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions or class-wide arbitration.

Exceptions

Either party may seek injunctive relief in court for:

• Intellectual property infringement
• Unauthorized access to systems
• Breach of confidentiality obligations
• Violations of user safety

11. Termination

Termination by User

You may terminate your account at any time by:

• Using the account deletion feature in settings
• Contacting customer support
• Ceasing use of our services

Termination by COPA

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• You repeatedly post prohibited content
• Your account remains inactive for extended periods
• Required by law or legal process
• To protect other users or our business

Effects of Termination

Upon termination:

• Your access to services will cease immediately
• Active property listings will be removed
• Unused subscription fees may be refunded pro-rata
• We may retain certain data as required by law
• Provisions that should survive will remain in effect

12. Changes to Terms

Modifications

We reserve the right to modify these Terms at any time. When we make changes:

User Notification

For material changes affecting your rights:

Acceptance of Changes

If you do not agree to modified Terms:

Applicable Law

These Terms are governed by and construed in accordance with:

• The laws of the Kingdom of Cambodia
• The Real Estate Law of Cambodia
• Cambodian Civil Code and Commercial Code
• Applicable consumer protection laws
• International real estate standards where applicable

Jurisdiction

Subject to the arbitration provisions:

• Courts of Phnom Penh, Cambodia have exclusive jurisdiction
• Parties consent to personal jurisdiction in Cambodia
• Venue for legal proceedings is Phnom Penh

International Users

For users accessing our services from outside Cambodia:

• You acknowledge compliance with Cambodian law
• Local laws of your jurisdiction also apply
• You are responsible for compliance with export controls
• Content may vary based on your location

Language

These Terms are provided in English. In case of conflict between translated versions and the English version, the English version shall prevail.
